HOUSTON, TX — Solaris Energy Infrastructure, Inc. (NYSE: SEI), a Houston-based provider of comprehensive power infrastructure solutions, has acquired Omega Foundation Services, a Louisiana-based heavy civil construction and engineering, procurement, and construction (EPC) specialist with a significant hydro excavation operation. The deal, announced September 2, 2026, is valued at approximately $101 million in net cash consideration, $28 million in debt and lease assumption, and the issuance of approximately 3.6 million Class A Solaris shares.
Founded in 2020 by Andrew Bennett in Slaughter, Louisiana, Omega Foundation Services is one of the fastest-growing heavy civil contractors in the United States — achieving 2,520% revenue growth by 2023 and earning a spot on the Inc. 5000 list in 2024. Approaching $80 million in annual revenue, the company has built its reputation on deep foundations, hydro excavation, heavy civil sitework, mass excavation, underground utilities, storm drainage, road building and paving, and electrical substation construction. The company has used vacuum excavation on sensitive and safety-critical projects — including supporting utility pole reinstallation for Entergy in storm-affected communities near Little Rock, Arkansas — building a track record of precision excavation in demanding field conditions.
Solaris said it has worked alongside the Omega team for two years across multiple locations prior to the acquisition, giving the buyer direct operational insight into Omega's execution capabilities. For Solaris, the acquisition completes a key gap in its power infrastructure platform — adding early-stage site services, plant installation and commissioning, and electrical substation development alongside its existing generation, distribution, and operations and maintenance capabilities.
