CHEYENNE, WY — In a significant pivot away from its pharmaceutical roots, Protect Pharmaceutical Corp. (OTC: PRTT) has completed the acquisition of three British Columbia-based environmental and hydrovac businesses: Vacterra Hydrovac Inc., Clearwater Environmental Ltd., and Arvia Environmental Systems Inc. The company has formally transitioned into an environmental infrastructure holding company and will operate going forward under the Arvia brand, while the Vacterra name will be retained exclusively for its hydrovac truck operations.
Vacterra and Clearwater were acquired from Horizon Enterprises Ltd., with Arvia acquired separately. Combined gross revenue for Vacterra and Clearwater for the fiscal year ended December 31, 2025 exceeded CDN$9.8 million.
The three businesses form a complementary platform across the hydrovac value chain. Vacterra, founded in 2018 and based in Langley, BC, provides hydro-excavation and related underground utility services throughout British Columbia. Its service offering includes 24-hour emergency response, trenching and hydro excavation, hydro flushing and jetting, utility locating, storm drain and catch basin cleaning, CCTV inspections, non-destructive exposure of underground utilities, and utility pole hole excavation.
Clearwater closes the loop on the hydrovac cycle, operating a slurry transfer station on the Surrey-Langley border that accepts non-contaminated hydrovac spoil, separates solids from water, and recycles the recovered material — producing screened topsoil and dry fill, while filtering recovered water for reuse in hydrovac operations or irrigation. Together, Vacterra and Clearwater give the new Arvia platform control over both the excavation and the waste processing sides of the hydrovac business.
Under the terms of the transactions, the sellers received exchangeable shares in PRTT's Canadian subsidiary, structured to mirror the economic and voting rights of corresponding PRTT preferred stock series — an arrangement designed to allow Canadian shareholders to defer certain Canadian tax consequences.
The company's board has approved a proposed corporate name change to Arvia Environmental Holdings Ltd., subject to the filing of Articles of Amendment with the Wyoming Secretary of State and FINRA approval, including the issuance of a new trading symbol. Until those approvals are in place, the company will continue to trade under the symbol PRTT.
Management has signalled an active acquisition strategy ahead, targeting additional hydrovac services and environmental processing businesses with an initial geographic focus on British Columbia, Alberta, Washington State, and Colorado — a deliberate effort to consolidate what the company describes as a fragmented North American environmental services market.
